Welcome to ComplyGuard. By accessing or using our website (complyguard.eu) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

You must be at least 16 years old to use ComplyGuard. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using ComplyGuard on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

Throughout these Terms, the following definitions apply:

• "Service" — The ComplyGuard website, platform, and all related features and functionality
• "User" or "You" — Any individual or entity that accesses or uses the Service
• "Account" — Your registered user account on ComplyGuard
• "Content" — Any data, text, reports, or materials generated through the Service
• "Scan" — An analysis of a website URL submitted through our compliance scanning feature
• "Compliance Report" — The assessment generated by ComplyGuard based on a Scan, including compliance scores and recommendations
• "Subscription" — Your paid or free plan that determines your access level and usage limits

3. The Service

3.1 What ComplyGuard Does

ComplyGuard provides AI-powered tools to help businesses assess and improve their EU regulatory compliance:

• Automated scanning of websites for compliance with EU regulations (GDPR, ePrivacy, Accessibility, AI Act, etc.)
• Generation of compliance scores and detailed reports
• Actionable recommendations to address compliance gaps
• Continuous monitoring and alerts for compliance changes (on applicable plans)
• AI-generated draft documents (privacy policies, cookie policies, etc.)

4. Account Registration

To access most features of ComplyGuard, you must create an account. When registering:

• You must provide accurate, complete, and current information
• You are responsible for maintaining the security of your account credentials
• You must not share your account with others — each user needs their own account
• You are responsible for all activities that occur under your account
• You must notify us immediately at info@complyguard.eu if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Subscription Plans & Pricing

ComplyGuard offers various subscription plans, including a free tier with limited features. Current pricing and plan details are displayed on our website.

• Free plans have usage limits (e.g., number of scans per month)
• Paid plans offer increased limits and additional features
• We reserve the right to modify pricing with 30 days advance notice
• Price changes will not affect your current billing cycle
• You can upgrade, downgrade, or cancel your subscription at any time

6. Payment Terms

6.1 Billing

• Paid subscriptions are billed in advance on a monthly or annual basis
• We accept major credit cards and other payment methods as displayed at checkout
• All prices are displayed in EUR and include applicable VAT where required
• Subscriptions automatically renew unless cancelled before the renewal date

6.2 Failed Payments

If a payment fails, we will attempt to charge your payment method again and notify you. If payment cannot be processed after multiple attempts, your account may be downgraded to the free tier.

6.3 Refund Policy

EU Consumer Rights: If you are a consumer in the European Union, you have the right to withdraw from your purchase within 14 days of subscribing, in accordance with the Consumer Rights Directive. To request a refund, contact us at info@complyguard.eu.

Outside the 14-day cooling-off period, refunds are provided at our discretion. We may offer pro-rated refunds for annual subscriptions cancelled mid-term.

7. Acceptable Use

You agree to use ComplyGuard responsibly and lawfully. You must NOT:

• Use the Service for any illegal purpose or to violate any laws
• Scan websites that you do not own or do not have explicit permission to scan
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Attempt to bypass usage limits, security measures, or access controls
• Submit malicious URLs, malware, or content designed to harm our systems
• Use automated scripts or bots to mass-scan beyond your plan limits
• Resell, redistribute, or commercially exploit Compliance Reports without authorization
• Misrepresent Compliance Reports as official legal certifications or audits
• Interfere with or disrupt the Service or servers
• Impersonate others or provide false information
• Use the Service to send spam or unsolicited communications

Violation of these rules may result in immediate suspension or termination of your account.

8. Intellectual Property

8.1 Our Intellectual Property

ComplyGuard and its licensors own all intellectual property rights in the Service, including but not limited to:

• The ComplyGuard name, logo, and branding
• The website design, interface, and user experience
• Our scanning technology, algorithms, and AI models
• All software, code, and technical infrastructure
• Documentation, templates, and educational content

You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without our written permission.

8.2 Your Data

You retain ownership of the data you submit to ComplyGuard (such as your website URLs). By using our Service, you grant us a license to process this data solely for the purpose of providing the Service to you.

8.3 Compliance Reports

Compliance Reports generated by ComplyGuard are licensed to you for your internal business use. You may share reports with your team, advisors, and auditors. However, you may not commercially resell or redistribute reports without our authorization.

9. Data & Privacy

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you agree to our data practices as described in that policy.

We also use cookies and similar technologies as described in our Cookie Policy.

10. Disclaimers & Limitation of Liability

10.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee of Complete Compliance

While we strive to provide accurate and helpful compliance assessments, we do not guarantee that our reports will identify every compliance issue or that following our recommendations will result in full regulatory compliance.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law:

• ComplyGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes, but is not limited to, loss of profits, data, business opportunities, or regulatory fines
• Our total liability for any claims arising from your use of the Service is limited to the fees you paid us in the 12 months preceding the claim

EU Law Note: Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under EU or Croatian law.

11. Service Availability

We strive to maintain high uptime and reliability, but we do not guarantee that the Service will be available 100% of the time.

• We may perform scheduled maintenance, typically with advance notice
• Unplanned outages may occur due to technical issues
• We are not liable for any damages resulting from service interruptions

Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet outages.

12. Termination

12.1 Termination by You

You may cancel your subscription and delete your account at any time through your account settings or by contacting us.

12.2 Termination by Us

We may suspend or terminate your access to the Service if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination:

• Your right to access the Service ends immediately
• We will delete your account data within 30 days, unless retention is required by law
• You may request a copy of your data before deletion
• Provisions that should survive termination (such as Limitation of Liability) will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Croatia and applicable European Union law, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Croatia.

13.3 EU Online Dispute Resolution

If you are a consumer in the European Union, you may also use the EU Online Dispute Resolution (ODR) platform to resolve disputes:

14. Changes to Terms

We may modify these Terms from time to time. When we make changes:

• We will update the "Last updated" date at the top of this page
• For material changes, we will provide at least 30 days notice via email or prominent website notice
• Your continued use of the Service after changes take effect constitutes acceptance of the new Terms
• If you do not agree to the changes, you should stop using the Service and delete your account

15. General Provisions

15.1 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ComplyGuard regarding your use of the Service.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights to an affiliate or in connection with a merger or acquisition.
